Responsibility Structure

The Technical Integrator (TIP):

Azupay (in relationship to the Merchant)

Has a direct relationship with the Merchant, where the merchant accepts Azupay’s T&C’s including pricing.
This is a standard MSA approach.
Performs onboarding functions (DD/KYC) and ongoing Due Diligence and has the right to approve or reject the merchant usage of Azupay Services at anytime as per the T&C’s.
Invoices the Merchant directly each month for transactions performed by the Merchants customers
The Merchant is set up as a client on the Azupay System with the Technical Integrator as the Parent
Disputes are managed between Azupay and Merchant with the Technical Integrator providing support.

Azupay (in relation to the Technical Integrator)

Enters into Partnership Agreement (TIPA) as a one-time agreement covering the Platform of the TI – which includes a “Revenue Share” model (aka commission)
Supports the integration of Azupay Services into the TI’s platform.
Pays out to the TI on a monthly basis, based on the aggregate revenue and agreed revenue share percentage of all the TI’s merchants.
Provides a Recipient Created Tax Invoice to the TI as part of the payment process.
Provides SLA's and Support to TI

TIP Merchant Agreement

It is assumed the TI will have an agreement of some kind with the Merchant.
However, as Azupay has a direct agreement with the Merchant, the contents of the TI’s agreement with the Merchant is less relevant to Azupay.

Azupay Merchant Services Agreement
Accepted via application process including digital signature includes:

Azupay Technical Integration Partner Agreement (TIPA – one-time agreement)
Signed & Includes:

Revenue Share percentage (aka Commission) – covers all Merchants operating under this Technical Integrator.
Azupay does DD on Merchant
Azupay Settles to Merchant
SLA's and Support for Technical Integrator
